Terms of Service
Effective date: July 20, 2026
Article 1 (Purpose)
These Terms of Service (these "Terms") set forth the rights, obligations, and responsibilities between Uniquegood Company Inc. (the "Company") and users in connection with the use of the AXIT service (the "Service") provided by the Company.
Article 2 (Definitions)
"Service" means the team workspace in which AI agents plan and execute users' requests. "User" means a person who creates an account and uses the Service; "Workspace" means a team-level working space; and "Content" means messages, files, task outputs, and other materials that a user enters into the Service or that the Service generates for the user.
Article 3 (Posting and Amendment of the Terms)
The Company posts these Terms so that they can be reviewed on the initial screen of the Service and during sign-up. When the Company amends these Terms, it will announce the amendment within the Service at least 7 days before the effective date, specifying the effective date and the reasons for the amendment; changes that are unfavorable to users or otherwise material will be announced at least 30 days before the effective date and notified to users individually by email or similar means. A user who does not agree to the amended Terms may terminate the agreement before the effective date, and if a paid period that has already been paid for remains, the Company will refund the remaining period on a pro-rata basis.
Article 4 (Accounts and Eligibility)
Users must register with accurate information and are responsible for keeping their account credentials secure. Users may not use another person's account without authorization, or transfer or lend their account. Persons under the age of 14 may not sign up for the Service. A minor must obtain the consent of a legal representative to use paid services, and a contract concluded without such consent may be cancelled by the minor or the minor's legal representative.
Article 5 (Workspaces and Team Sharing)
Content entered into a workspace is shared with the members of that workspace. Workspace owners and administrators have member-management authority, including inviting and removing members and changing roles, and may control workspace-level settings (integrations, secrets, etc.). These Terms also apply to users who join via an invitation link.
Article 6 (Provision, Modification, and Suspension of the Service)
The Company endeavors to provide the Service around the clock, but may temporarily suspend all or part of the Service for reasons such as scheduled maintenance, system replacement, or force majeure, in which case it will give prior notice (or, where unavoidable, subsequent notice). For material changes to the Service or discontinuation of all or part of the Service, the Company will give notice 30 days in advance and notify users individually by email or similar means, and any paid period that could not be used due to the discontinuation or suspension will be refunded on a pro-rata basis. Upon discontinuation of the Service, the Company will provide a period of at least 30 days for users to export their data.
Article 7 (Fees and Payment)
The Service is offered as a per-seat subscription (monthly/annual), and fees, trial periods, and billing cycles are displayed on the pricing page. Paid billing features are currently in preparation; when payment methods are introduced, the specific payment terms (payment processor, automatic renewal, pre-renewal notice methods, etc.) will be disclosed through an amendment to these Terms (with 30 days' prior notice pursuant to Article 3) and on the pricing page before billing begins. If automatic renewal is introduced, the renewal billing date and amount will be notified by email or similar means before each charge, and users may stop (cancel) renewal at any time before the renewal date. If a mechanism is introduced under which a free trial automatically converts into a paid recurring subscription, the Company will obtain the user's explicit consent to the timing and amount of the conversion before it takes place.
Article 8 (Statutory Cancellation and Refunds)
A user may cancel within the statutory withdrawal period of 7 days from the later of the payment date and the date the paid service commences, and will receive a full refund if use of the paid service has not yet begun. After use has begun, the Company will deduct an amount corresponding to the period used (or the portion already provided) and refund the remaining period on a pro-rata basis. The same standard applies to mid-term cancellation of an annual prepaid subscription. Refunds are processed within 3 business days from the date the cancellation or termination request is received, using the same payment method; if the same method is not available, the Company will inform the user in advance. Cancellation or termination requests may be submitted via in-service settings or to contact@uniquegood.biz. If the user was unable to use the Service due to causes attributable to the Company, the fees for the affected period will be refunded in full.
Article 9 (User Content and Intellectual Property)
Rights to the content a user enters into the Service and to its outputs belong to the user. The user grants the Company a worldwide, non-exclusive license to use the content to the extent necessary to provide the Service (hosting, storage, reproduction, transmission, backup, on-screen display, and delivery to AI providers connected by the user), and this license is used solely for the purpose of providing the Service. Intellectual property rights in the Service itself (software, design, trademarks, etc.) belong to the Company.
Article 10 (Special Provisions on AI Execution)
If a user sets up an AI connection and uses "real execution," the terms and usage fees of the selected AI provider (Anthropic, OpenAI, Z.ai, xAI, Moonshot AI/Kimi, or Google/Gemini) also apply, and the execution content is transmitted to that provider. The accuracy and completeness of AI-generated results are not guaranteed, and users are responsible for reviewing results before making important decisions or publishing them externally. Users are also responsible for verifying that AI outputs do not infringe third-party rights.
Article 11 (Prohibited Conduct)
Users must not engage in conduct such as violating applicable laws, infringing the rights of others, interfering with the normal operation of the Service, unauthorized scraping or reverse engineering, distributing malicious code, or creating or distributing unlawful content through the Service.
Article 12 (Restriction of Use and Termination by the Company)
If a user violates these Terms, the Company may take escalating measures — warning, temporary suspension, or termination of the agreement — according to the severity of the violation. In principle, the Company will notify the user of the reasons and provide an opportunity to respond before taking any measure; where this is unavoidable, such as in the case of an urgent security threat, the Company will notify the user without undue delay after the measure is taken. Users may file an objection to any measure. If the agreement is terminated as a sanction without fault on the part of the Company, refunds follow the standards in Article 8, provided that damages arising from the violation may be deducted.
Article 13 (Termination by the User and Data Handling)
Users may terminate their account at any time. Upon termination, personal information and content are deleted without undue delay in accordance with the Privacy Policy, and backup copies are deleted sequentially within the backup rotation cycle (7 days). However, records subject to statutory retention obligations (such as e-commerce transaction records) and minimal records kept to prevent fraudulent use are stored separately for the applicable period. Content shared in a workspace may remain in place for the continuity of that workspace. Users may export their data before termination.
Article 14 (Disclaimer of Warranties and Limitation of Liability)
The Service is provided "as is," and the Company makes no warranty of fitness for a particular purpose. To the extent permitted by applicable law, the Company is not liable for indirect, special, or consequential damages, and the Company's aggregate liability shall not exceed the amount paid by the user to the Company during the 12 months immediately preceding the date the damage occurred. However, the limitations of liability in this Article do not apply to damages caused by the Company's willful misconduct or gross negligence.
Article 15 (Governing Law and Dispute Resolution)
These Terms are governed by and construed in accordance with the laws of the Republic of Korea. Any dispute between the Company and a user arising in connection with the use of the Service shall be subject to the jurisdiction of the competent court determined under the Civil Procedure Act (Korea). Users may also apply for dispute mediation with relevant bodies such as the Korea Consumer Agency or the Electronic Commerce Dispute Mediation Committee.
